Memorandum and Articles of Association

In these Articles:
"the Code" means the Companies (Victoria) Code;
"the Association" means the Endocrine Society of Australia;
"the unincorporated Association" means the unincorporated body known as The Endocrine Society of Australia whose funds and other assets and liabilities the Association is authorised to take over Clause 2(b) of the Memorandum of Association:
"Committee" means the board of directors and governing council of the Association;
"Member" means member of all classifications unless the contrary intention indicates otherwise;
"the seal" means the common seal of the Association;
"Secretary" means any person appointed to perform the duties of a secretary of the Association and includes an honorary secretary;
"State" means the State of Victoria;
Expressions referring to writing shall, unless the contrary intention appears, be construed as including references to printing, lithography, photography and other modes of representing or reproducing words in a visible form;
words or expressions contained in these Articles shall be interpreted in accordance with the provisions of the Acts Interpretation Act 1958 and of the Code as in force at the date at which these Articles become binding on the Association.

The Association is established for the purposes set out in the Memorandum of Association.
