Memorandum and Articles of Association

Election

In the election of members of the Committee:

  • Nominations for elections shall be made in writing and shall be duly proposed and seconded by two members of the Association. The nominee shall signify his or her consent to such nomination in writing. Such nominations shall be in the hands of the Secretary ninety (90) days before the annual general meeting of the Association and election will be made by postal ballot by the financial members of the Association;
  • A list of the candidates' names in alphabetical order with the proposers' and seconders' names shall be posted in a conspicuous place in the registered office of the Association for at least twenty-eight (28) days immediately preceding the annual general meeting;
  • Balloting lists shall be prepared (if necessary) containing the names of the candidates only in alphabetical order and shall be forwarded to the members of the Association by the Secretary not less than twenty-eight (28) days immediately preceding the annual general meeting and each member of the Association shall be entitled to vote for any number of such candidates not exceeding the number of vacancies;
  • In case there shall not be sufficient numbers of candidates nominated and Committee may fill up the remaining vacancy or vacancies.

The Association may from time to time by resolution passed at a general meeting increase or reduce the number of office bearers or other members of the Committee.

The Committee shall have power at any time and from time to time to appoint any member to the Committee either to fill a casual vacancy or as an addition to the existing office bearers or other members of the Committee but so that the total number of office bearers or other members of the Committee shall not at any time exceed the number fixed in accordance with these Articles. Any office bearer or other member of the Committee so appointed shall hold office only until the next following annual general meeting.

Disqualification of Committee
The Association may by resolution of which special notice has been given remove any office bearer or other member of the Committee before the expiration of his period of office and may by a resolution appoint another person in his or her stead; the person so appointed shall hold office only until the next following annual general meeting.

The office of a member of the Committee shall become vacant if the member:

  • becomes bankrupt or makes any arrangement or composition with his or her creditors generally;
  • becomes prohibited from being a director of a company by reason of any order made under the Code;
  • ceases to be a member of the Committee by operation of Section 226 of the Code;
  • becomes of unsound mind or a person whose person or estate is liable to be dealt within any way under the law relating to mental health;
  • resigns his or her office by notice in writing to the Association;
  • for more than six (6) months is absent without permission of the Committee from meeting of the Committee held during that period;
  • holds any office of profit under the Association;
  • ceases to be a member of the Association; or
  • is directly or indirectly interested in any contract or proposed contract with the Association. Provided Always that nothing in this paragraph shall effect the operation of Clause 3 of the Memorandum of Association of the Association.
