Memorandum
and Articles of Association

| 1. | Article 22 | By
substituting the words “President Elect” for
the words “Vice President” wherever appearing. |
| 2. | Article 34 | By
deleting the words “Vice President” and substituting
in lieu Notwithstanding
anything herein contained the President upon retiring
shall become an additional member of the
Committee as Past President for a period of one year. |
| 3. | Article 35 | Delete and substitute in lieu thereof the following new article:
“At the Annual General Meeting of the Society to be held in 2006 all Committee Members shall retire and subject to Article 36:
As from the second annual General Meeting of the Society
after the 2006 Annual General Meeting five (5) members of
the Committee shall be elected every two years. |
| 4. | Article 35 | Delete
the word “Thereafter” down to and including the
words “of the Association” and substitute in lieu thereof the words “The Committee as from the 2006 Annual General Meeting subject to Article 34 shall consist of ten (10) members of the Society." |
| 5. | Article 37 | Delete
and substitute in lieu thereof the following new Article:
“The
President Elect shall be elected by the Committee within
three (3) months of the relevant Annual General Meeting
and shall hold office until the second Annual General Meeting
after his/her election when he/she shall become President
for a period of 2 years." |
| 6. | Article 53 | Delete
the words “Vice President” wherever appearing
and substitute the words “President Elect” in lieu thereof. |
