Memorandum and Articles of Association

Constitution change 2005 - Election of councillors

To consider and if thought fit to pass the following resolution as a Special Resolution:

Amendment of Articles of Association

Subject to the consent of the Commissioner of Corporate Affairs the Articles of Association of the Society be amended as follows:

1. Article 22 By substituting the words “President Elect” for the words “Vice
President” wherever appearing.
 
2. Article 34

By deleting the words “Vice President” and substituting in lieu
thereof the words “President Elect”.

Notwithstanding anything herein contained the President upon retiring shall become an additional member of the Committee as Past President for a period of one year.
 

3. Article 35 Delete and substitute in lieu thereof the following new article:

“At the Annual General Meeting of the Society to be held in 2006 all Committee Members shall retire and subject to Article 36:

  1. Five (5) members of the Committee shall be elected who shall hold office for four (4) years when they shall retire but be eligible for re-election. The five members so elected (from whom the office bearers shall be elected by the Committee) shall be the ones receiving the most votes.
     
  2. Five (5) members of the Committee shall be elected who shall hold office for a period of two (2) years when they shall retire but be eligible for re-election.

As from the second annual General Meeting of the Society after the 2006 Annual General Meeting five (5) members of the Committee shall be elected every two years.
 

4. Article 35 Delete the word “Thereafter” down to and including the words “of
the Association” and substitute in lieu thereof the words “The Committee as from the 2006 Annual General Meeting subject to Article 34 shall consist of ten (10) members of the Society."
 
5. Article 37 Delete and substitute in lieu thereof the following new Article:

The President Elect shall be elected by the Committee within three (3) months of the relevant Annual General Meeting and shall hold office until the second Annual General Meeting after his/her election when he/she shall become President for a period of 2 years."
 

6. Article 53 Delete the words “Vice President” wherever appearing and
substitute the words “President Elect” in lieu thereof.
